Terms of Service

1. Acceptance of Terms

By accessing or using any services provided by Dark Star Geographics LLC ("we," "our," or "the Company"), including our websites, interactive mapping platforms, data products, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

2. Description of Services

Dark Star Geographics provides:

  • Interactive Mapping: The Terrapin platform for geospatial visualization, parcel data exploration, and spatial analysis.
  • Data Products: Downloadable geospatial datasets including enriched parcel boundaries, land use classifications, soil data, and demographic information.
  • Agricultural Analytics: The GeoAg platform for agricultural intelligence, crop monitoring, and farm-level spatial analytics.
  • Embeddable Solutions: Dashboard and mapping components for integration into third-party applications.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Subscriptions and Payment

Certain Services require a paid subscription. By subscribing, you agree to pay the applicable fees as described at the time of purchase. All payments are processed securely through Stripe.

  • Billing Cycles: Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.
  • Refunds: Subscription fees are generally non-refundable. We may offer refunds at our discretion on a case-by-case basis.
  • Price Changes: We may adjust pricing with reasonable notice. Continued use after a price change constitutes acceptance.

5. Data Licensing

Geospatial data products purchased or accessed through our Services are subject to the following terms:

  • License Grant: We grant you a non-exclusive, non-transferable license to use purchased data for your internal business or personal purposes, subject to your subscription tier.
  • Restrictions: You may not redistribute, resell, sublicense, or make publicly available any raw data obtained through our Services without prior written consent. Derived works (analyses, reports, visualizations) created from our data may be shared or published.
  • Attribution: When publishing derived works, we appreciate (but do not require) attribution to Dark Star Geographics as the data source.
  • Data Accuracy: While we strive for accuracy, geospatial data is compiled from multiple public and proprietary sources. We do not guarantee that data is error-free and it should not be used as a sole basis for legal boundary determinations, regulatory compliance, or life-safety decisions.

6. Acceptable Use

You agree not to:

  • Use our Services for any unlawful purpose or in violation of applicable laws
  • Attempt to reverse-engineer, decompile, or disassemble any part of our platform
  • Scrape, crawl, or use automated means to access our Services beyond what is provided through our official interfaces
  • Interfere with or disrupt the integrity or performance of our Services
  • Impersonate any person or entity, or misrepresent your affiliation
  • Use our data products to build a competing dataset for redistribution

7. API Access

We may offer API access to certain Services in the future. API usage will be subject to rate limits, authentication requirements, and additional terms published at the time of availability. Abuse of API access may result in throttling or suspension.

8. Intellectual Property

All content, software, designs, and data compilations provided through our Services are the property of Dark Star Geographics LLC or our licensors. Our trademarks, logos, and brand elements may not be used without prior written permission. Your use of our Services does not grant you ownership of any intellectual property.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, Dark Star Geographics LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Dark Star Geographics LLC, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to our Services at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use our Services ceases immediately. You may cancel your account at any time through your account settings or by contacting us.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be resolved in the state or federal courts located in Tennessee.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on our website and updating the effective date. Your continued use of our Services after changes constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
